Are you currently a Company Secretary or Assistant Company Secretary looking to work for a progressive and innovative organisation that genuinely values you and your input? My client a market leading Investment Management Firm, has a new opportunity for a Company Secretary to be based in its prestigious offices in central Edinburgh. You will currently be a Company Secretary or an Assistant Company Secretary looking for the next step ideally with a background in financial services though this is not essential.

Working as part of a small team you will provide advice and support to the business on matters across a broad spectrum of company secretarial issues ranging from the preparation of board and committee papers to the timetabling, drafting and proofing of annual & interim financial accounts.

It would also be highly beneficial if you have an understanding of compliance and operational risk processes & controls and regulatory changes that will impact the department. You will also be self-motivated, innovative, analytical and be able to work well within a team environment.

Core responsibilities

* Attendance at board and shareholder meetings
* Preparation of board and committee papers
* Drafting of minutes of meetings
* Review and sign-off of share buy backs, issuances & conversions
* Prepare and release of company announcements
* Timetabling, drafting and proofing of annual & interim financial accounts
* Evaluation and sign-off of statutory filings
* Oversight and sign-off of month end reporting
* Identify and remediate any risk issues in accordance with internal risk policies

Core Individual

* ICSA qualified, qualified Accountant or Solicitor
* Experience providing company secretarial support to UK listed investment trusts & companies
* Will have good technical knowledge of the following: UK Companies Act, FCA Listing, Prospectus, Disclosure & Transparency Rules.
* Codes of Corporate Governance
* Knowledge of listed funds’ industry developments and trends
* Excellent presentation, interpersonal and communications skills
* Ability to liaise and communicate effectively with colleagues and senior stakeholders
* Must have the ability to work accurately under pressure and to tight deadlines
* Will be pro-active and responsive
